Our team.

Our team consists of highly experienced professionals with extensive and in-depth legal, fund formation, regulatory, operational risk management, marketing, promotion and strategic business experiencing advising small to well established funds and asset management firms.

Our Principal, Gary Mair is a highly experienced hedge fund securities attorney with extensive product development, regulatory, operational, counter-party, marketing and business experience. Over 15 years of holistic experience advising small to well established hedge funds to global alternative asset management firms. A former Chief legal and regulatory officer, and a business executive to a US asset management subsidiary to one of the world's leading financial institutions (BNP Paribas), and to one of the largest asset management firms in Japan, Nikko (managing assets globally in excess of $700 Bl).

As Nikko's U.S. GC, CCO and EVP, Gary was instrumental in implementing the teams, Best Practices processes and controls, and its operational and regulatory infrastructure.  Gary also managed the US legal and regulatory teams responsible for two registered investment advisers and its commodity trading adviser.  Gary was also legal and regulatory advisor to Nikko’s Tokyo, London and Singapore hedge fund teams for  US related hedge fund matters.  At both Nikko and CooperNeff, Gary advised on both U.S. and offshore fund formation matters as well as the ongoing legal and operational build up of their multiple hedge fund strategies and managed accounts.     

Previous to this experience above, Gary managed an entrepreneurial New York law firm’s Internet securities practice representing start-up venture capital, hedge fund and Internet companies from inception to IPO, and was noted in the Wall Street Journal and Bloomberg as the first securities attorney to register with the SEC an IPO to issue free shares on the Internet.

Gary is a member of the Connecticut Hedge Fund Association, Greenwich Connecticut Roundtable, the New York State Securities Regulation Committee, and the Pennsylvania Mid Atlantic Hedge Fund Association.  Gary is admitted in the State of New York and Pennsylvania.

     Selective hedge fund regulatory and operational experience:      

  • Engaged  to  launch a successful onshore-offshore master-feeder structure, operational and counter-party agreements and operational controls and processes for a novel CAT Bond Strategy on behalf of the CEO of a leading alternative asset management firm.

  • For a major offshore fixed income investment and commodity trading advisor and its affiliates reorganized and implemented Best Practices front and back office legal, compliance, and regulatory processes and controls managing assets in excess of $7 Billion.

  • Engaged to conduct Diagnostic reviews for small to global alternative asset management firms.    

  • Extensive transactional and due diligence experience on: prime-brokers, administrators, finders, counter- parties, institutional investors and fund of funds. Counterparties such as Merrill Lynch, RMF, Lxyor, Wellington, and Tremont.

  • Advise start-up hedge funds in the area of strategic planning, marketing, investor relations, advertisement and the raising of assets.

      Selective hedge fund formation experience:

  • For US subsidiary to a leading European financial institution, reorganized both its US and Offshore hedge fund structure and launched multiple master feeder, side by side and stand alone  structures that increased efficiencies and substantially decreased third-party costs.  Created one of the “first” catastrophic bond strategies offered in the U.S. to QIBs through novel total return and swap strategy. 

  • For successful start-up asset management client, launched  catastrophic bond offshore and onshore master feeder, managed accounts, swaps, and related operational, compliance, and procedural infrastructure. 

  • Developed and executed the launch of S&P DTI Invest able index fund, an index strategy linked to the S&P 500 and the first offered by alternative asset management firm to Asian investors.  

  • For a major fixed income trading and commodity advisor and its offshore affiliates, advised on fund formation, legal and operational matters in connection with the raising of assets in Asia and Europe.   

  • Substantially improved operational efficiency and reduced costs for Firm by developing its first trust-master feeder structure to Asian investors.

  • Formed fund of funds, trusts, sub-advisory and advisory structures with counterparties such as Wellington Management Company and Tremont Capital Management.

  • Executed structured Managed Accounts linked to the MSCI invest able index and funded by fund of funds structure with such counterparties as Lyxor Asset Management and RMF Investment Management.

  • Executed Fund of Funds product offerings involving a leading US convertible arbitrage strategy and Merrill Lynch.

  • Advisor in executing for a start-up hedge fund to a large alternative asset management firm: (i) managed accounts; (ii) ISDA swaps; (iii) Cayman trusts; (iv) segregated portfolio companies;  (v) sub-advisory relationships; and (vi) multiple structured products.
